These Terms of Service ("Terms") are a legal agreement between:
- Edansa Innovations Ltd, a company registered in England and Wales (company number 15789915) with its registered office at Lytchett House, 13 Freeland Park, Wareham Road, Poole, Dorset, BH16 6FA ("Edansa", "we", "us"), and
- you, the person or business creating a RoundWiz account ("you", the "Customer").
By ticking the acceptance box at sign-up, or by continuing to use RoundWiz after being asked to accept an updated version of these Terms, you agree to be bound by them. If you are accepting on behalf of a business, you confirm you have authority to bind that business.
1. The Service
1.1 RoundWiz is a web application for window cleaners and similar round-based service businesses to manage customers, properties, rounds, jobs, scheduling and related records (the "Service").
1.2 We provide the Service on a subscription basis, including a free trial as described at sign-up. We may change trial length, features or pricing for new sign-ups at any time. For existing subscribers, any change to your price takes effect from your next renewal.
2. Your account
2.1 You must provide a valid email address. Access is by one-time login codes sent to that address (or by Google sign-in); you are responsible for keeping access to your email account and devices secure.
2.2 You must be at least 18 years old and using the Service for business purposes. The Service is not offered to consumers.
2.3 You are responsible for everyone you invite into your workspace and for their compliance with these Terms.
2.4 Each workspace member must have their own login. Logins and login codes must not be shared, and access must not be provided to anyone who is not a workspace member. We may suspend accounts where credential sharing is used to circumvent per-user pricing.
3. Acceptable use
3.1 You must not: use the Service unlawfully; upload malicious code; attempt to gain unauthorised access to the Service or other customers' data; resell the Service; use it to send spam; interfere with its operation (including circumventing rate limits or automated-abuse protections); reverse engineer, decompile, or systematically extract data, content or functionality from the Service, whether by automated or manual means (including bots, scripts or scrapers); or use the Service, including during a free trial, to evaluate, benchmark or build a competing product or service.
3.2 You must only record personal data in RoundWiz that you are lawfully entitled to process (see clause 5 and Schedule 1).
4. Your data
4.1 "Customer Data" means the data you and your workspace members enter into the Service, including details of your own clients and their properties.
4.2 You own your Customer Data. You grant us a licence to host, process, back up, transmit and display it solely to provide and support the Service.
4.3 We provide the means to export your Customer Data. Following termination, Customer Data is deleted in accordance with Schedule 1, paragraph 10.
5. Data protection roles
5.1 For Customer Data relating to your clients (for example your clients' names, addresses, contact details, job notes and payment status), you are the data controller and Edansa is your data processor. Schedule 1 (Data Processing Agreement) forms part of these Terms and governs that processing.
5.2 For your own account data (your email address, account settings, billing information, support communications and usage data), Edansa is the data controller, as described in the RoundWiz Privacy Policy.
5.3 As controller of your clients' data, you are responsible for having a lawful basis to process it and for handling your clients' data-protection rights and privacy notices.
5.4 You will indemnify us against costs, claims and losses we suffer because of your breach of your obligations as a controller (for example, entering personal data into the Service that you had no right to process, or failing to handle your clients' data-protection rights), except to the extent we caused the breach.
6. Fees and payment
6.1 Fees, billing frequency and payment methods are shown in the Service. Payments are processed by our payment provider, Stripe. Fees are exclusive of VAT unless stated.
6.2 If payment fails we may, after notice, suspend the Service until payment is made. At the end of the free trial the Service becomes read-only until a subscription is started; your data is not deleted merely because a trial ends.
7. Availability, support and changes
7.1 We aim to keep the Service available at all times but do not guarantee uninterrupted availability. We may carry out maintenance and will try to minimise disruption.
7.2 We may improve or modify features of the Service. If a change materially reduces core functionality you may terminate under clause 10 and receive a pro-rata refund of prepaid fees.
8. Intellectual property
8.1 We (and our licensors) own the Service and all intellectual property in it. You receive a non-exclusive, non-transferable right to use it for your business while you have an active account.
8.2 You may give us feedback; we may use it without obligation to you.
8.3 If you post a public review or testimonial about RoundWiz (for example on Trustpilot, Google Reviews or social media), you allow us to reproduce it in our marketing, with your name and business name where shown publicly. We may shorten reviews but will not change their meaning.
9. Changes to these Terms
9.1 We may update these Terms from time to time. Each version carries a version date. For material changes we will notify you (by email or in the app) and ask you to accept the new version at your next login. If you do not accept, you may continue under the old version until your current billing period ends, after which continued use requires acceptance.
10. Termination
10.1 You may cancel at any time in the app; cancellation takes effect at the end of the current billing period.
10.2 We may suspend or terminate your account for material breach of these Terms (including non-payment or breach of clause 3) if the breach is not remedied within 14 days of notice, or immediately where the breach is serious (for example unlawful use or attempts to access other customers' data).
10.3 On termination, clause 4.3 and Schedule 1 paragraph 10 govern your data.
11. Liability
11.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.
11.2 Subject to 11.1, neither party is liable for indirect or consequential loss, loss of profits, or loss of business, and each party's total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the fees you paid for the Service in that period (or £100 if greater).
11.3 The Service is a record-keeping and scheduling tool. You remain responsible for your business decisions, your bookings and your relationships with your clients.
12. General
12.1 These Terms, the Privacy Policy and Schedule 1 are the entire agreement between us regarding the Service.
12.2 If there is any conflict between these documents, these Terms prevail, then Schedule 1 (the Data Processing Agreement), then the Privacy Policy.
12.3 We may transfer our rights under these Terms to a successor of our business; you may not transfer yours without our consent (not to be unreasonably withheld).
12.4 These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Schedule 1 (Data Processing Agreement)
This Schedule applies to Edansa's processing of personal data within Customer Data on your behalf, as required by Article 28 of the UK GDPR. Terms such as "controller", "processor", "personal data" and "processing" have the meanings given in the UK GDPR.
1. Roles and scope
You are the controller and Edansa is the processor of personal data contained in Customer Data. This Schedule does not apply to your account data, for which Edansa is a controller (see the Privacy Policy).

3. Your instructions
Edansa processes Customer Data only on your documented instructions, which are: these Terms, this Schedule, and your use of the Service's features. Edansa will inform you if, in its opinion, an instruction infringes data protection law.
4. Confidentiality
Edansa ensures that anyone it authorises to process Customer Data is subject to an obligation of confidentiality.
5. Security
Edansa implements appropriate technical and organisational measures, including: encryption of data in transit (TLS) and at rest; workspace-scoped data isolation (multi-tenant separation enforced in the application and data layers); rate limiting and automated-abuse protection; one-time login codes rather than stored passwords; redaction/hashing of personal identifiers in application logs; masking of personal data in session-replay diagnostics; access to production systems restricted to authorised personnel; and regular backups.
6. Sub-processors
6.1 You give general written authorisation for the sub-processors listed below. Edansa will give you at least 30 days' notice (by email or in the app) before adding or replacing a sub-processor, during which you may object on reasonable grounds; if the objection cannot be resolved you may terminate and receive a pro-rata refund of prepaid fees.

6.3 Edansa imposes data-protection obligations on each sub-processor equivalent to those in this Schedule and remains liable for their performance.
7. International transfers
Customer Data is stored in the EU (Ireland) and processed by our systems in the United Kingdom, both covered by UK data adequacy regulations. Where a sub-processor processes personal data outside the UK and EU, Edansa ensures a valid transfer mechanism is in place (the UK International Data Transfer Agreement, or the UK Addendum to the EU Standard Contractual Clauses).
8. Assistance
Taking into account the nature of the processing, Edansa will assist you (at your reasonable request) with: responding to data-subject rights requests that reach Edansa directly (these will be forwarded to you without undue delay); your obligations regarding security, breach notification and data protection impact assessments.
9. Personal data breaches
Edansa will notify you without undue delay after becoming aware of a personal data breach affecting Customer Data, and will provide information reasonably required for you to meet your own notification obligations.
10. Deletion and return
You may export Customer Data at any time through the Service. Following account termination, Edansa will delete Customer Data within 90 days, except where retention is required by law, after which it is removed from backups in the ordinary backup rotation cycle.
11. Audit
Edansa will make available information reasonably necessary to demonstrate compliance with this Schedule, and will allow audits (at your cost, on reasonable notice, no more than once per year, and without access to other customers' data) where the information provided is insufficient.
